These terms apply to all offers, assignments, projects, services, websites, automations, integrations, AI-assisted services, SEO work, monitoring, maintenance and managed services performed by Siftly A.I. Services Ltd, unless otherwise agreed in writing.
1. Application of these terms
These terms apply to all offers, agreements, invoices, services and collaborations between Siftly A.I. Services Ltd and the client. By approving an offer, confirming an assignment, making a payment or using the services, the client accepts these terms. If an offer conflicts with these terms, the offer prevails for project-specific commercial and technical matters. Client terms do not apply unless expressly accepted in writing by Siftly A.I. Services Ltd.
2. Offers and validity
Offers are valid for the period stated in the offer. If no period is stated, an offer is valid for 14 calendar days. Offers are based on information available at the time. If later information shows that the project is more complex, requires other systems, more revisions or additional exceptions, the scope, price or timing may be adjusted.
3. Scope of work
Siftly A.I. Services Ltd performs the work within the scope described in the offer or written confirmation. Anything not expressly included is outside scope.
- new functionality, workflows, integrations, dashboards, pages or modules
- extra language versions, forms, reports, automations or SEO/content work
- major changes to approved logic, copy, layout or structure
- work caused by changes or downtime of third-party platforms
- support outside the agreed support structure
Additional work outside scope is charged at the hourly rate stated in the offer or, if none is stated, the standard hourly rate of Siftly A.I. Services Ltd. Larger extensions can be treated as a separate mini-project with its own scope, timing and price.
4. Changes during the project
The client may request changes. Siftly A.I. Services Ltd determines whether a requested change is within the original scope. Out-of-scope changes may be charged separately, require a revised proposal, change the timeline or be refused if technically, practically or commercially unreasonable. A change is binding only when confirmed in writing.
5. Obligations of Siftly A.I. Services Ltd
Siftly A.I. Services Ltd will perform the services with professional care and reasonable skill. Unless a specific result is expressly guaranteed, obligations are best-efforts obligations. Siftly A.I. Services Ltd does not guarantee that external systems, APIs, third-party services, hosting environments, search engines, AI tools or booking platforms will be error-free, uninterrupted or permanently available.
6. Client obligations
The client must provide timely information, access, materials, approvals and feedback necessary for the project. This may include API keys, account access, hosting or domain access, CMS access, technical documentation, operational rules, approved content, brand assets, mappings, decisions and a contact person authorised to make decisions. The client is responsible for the accuracy, legality and completeness of all information, data, content and instructions provided.
7. Planning and delays
Timings and deadlines assume timely access, information, content, approvals and feedback from the client. Delays caused by missing access, incomplete information, late feedback, third-party limitations, downtime, external dependencies or force majeure may shift the timeline. If a project is inactive for more than 30 calendar days due to the client, Siftly A.I. Services Ltd may invoice completed work and reset the planning.
8. Third-party systems and APIs
Many projects depend on third parties such as PMS systems, booking engines, CMS platforms, hosting, email providers, analytics tools, AI services, form tools, CRM systems, search engines and APIs. Siftly A.I. Services Ltd has no control over their availability, pricing, API changes, access rights, rate limits, security settings, rankings or output. Work required due to third-party changes is outside scope unless otherwise agreed.
9. Automations, monitoring and error handling
Automations are built based on agreed rules, available data and technical possibilities. Siftly A.I. Services Ltd does not guarantee that every exception, error, missing data point or operational issue can be automatically solved. Monitoring does not mean permanent real-time or 24/7 supervision unless expressly agreed. The client remains responsible for operational follow-up of alerts and manual tasks.
10. Websites and web applications
Website and web application projects are delivered according to the offer. Unless expressly included, the following are not included: full new branding, logo design, new photography, multilingual versions, custom booking engines, full CMS/admin systems, complex backend functionality, legal texts, paid ads, social media management and ongoing SEO/content campaigns. The client remains responsible for final approval of website content, claims, pricing, legal mentions and commercial messaging.
11. Content, copy and materials
Content, website copy, SEO texts, guide pages, emails or commercial texts are prepared based on client-provided information and professional judgement. The client remains responsible for accuracy of business information, claims, location details, prices, terms, rights to images and compliance with applicable sector rules.
12. SEO foundations
If SEO foundations are included, they are a one-time setup using reasonable basic practices such as titles, meta descriptions, headings, URL structure, alt text, internal links, sitemap, robots.txt, basic structured data, crawlability checks and redirects where needed. No specific rankings, traffic, leads, conversions or revenue are guaranteed. Ongoing SEO growth, content creation, link building, competitor analysis and ranking monitoring are not included unless expressly agreed.
13. AI Search / LLM foundations
If AI Search or LLM foundations are included, the work focuses on clear positioning, structured information, metadata consistency, FAQ-style/direct-answer content where useful and machine-readable clarity. Siftly A.I. Services Ltd does not guarantee that AI tools, search engines or chatbots will recommend, cite, display or correctly summarise the client.
14. Performance and page speed
If performance foundations are included, Siftly A.I. Services Ltd will use reasonable efforts to build a clean and performant technical setup. Exact Lighthouse, PageSpeed or similar scores are not guaranteed, especially where third-party scripts, booking widgets, analytics, cookie banners, fonts, hosting or later client changes affect performance.
15. Forms, leads and notifications
Forms, lead notifications and confirmation emails are delivered according to the offer. The client remains responsible for correct form content, recipients, lead follow-up, privacy and marketing compliance, and checking received submissions. Email delivery can be affected by spam filters, mailbox settings, provider limitations and incorrect data.
16. Booking links and health monitoring
Booking link or booking path health monitoring, if included, is intended to detect likely availability or access problems faster. It does not guarantee that every booking issue will be detected or that external booking platforms will remain available. Siftly A.I. Services Ltd is not responsible for external booking platform downtime, bugs, availability, pricing or flow changes.
17. Migration, redirects and URL handling
If migration, redirects or URL handling are included, Siftly A.I. Services Ltd will use reasonable efforts to identify important existing URLs and set redirects where practical. Full preservation of every old URL, ranking, snippet, indexed page or external link is not guaranteed. Search engines may fluctuate after a website rebuild.
18. Revisions and feedback rounds
Included revision rounds are limited to reasonable feedback within the existing scope. They do not include a complete new strategy, full redesign, new pages, additional languages, major copy rewrite after approval, new functionality or new integrations. Extra revisions or major changes may be charged separately.
19. Email communication and automated messages
Automated emails, guest communication, lead confirmations and reporting emails are based on client-approved content, timing and rules. The client is responsible for accuracy, approval of texts, legal compliance, available email accounts or sending services and correct recipient information.
20. Dashboards and settings
Dashboards or admin interfaces are limited to the functions described in the offer. A simple dashboard is not an unlimited development environment or platform for building new workflows, integrations or logic unless expressly agreed. Incorrect client settings and related recovery work may be charged as additional work.
21. Delivery and acceptance
A project is considered delivered when the agreed core functionality within the confirmed scope is available for testing, launch, publication, handover or use. Minor issues, non-critical improvements or optimisations do not prevent delivery if the core scope is available. The client must report material defects in writing within 7 calendar days. Use, publication or operational use also counts as acceptance.
22. Launch and handover
Launch or publication may depend on hosting, domains, DNS, third-party systems and client approval. Siftly A.I. Services Ltd is not responsible for delays caused by missing domain access, hosting restrictions, DNS issues, external providers or late client approval. A solution may be considered delivered once it is ready for publication or handover, even if the client delays launch.
23. Stabilisation period
If a stabilisation period is included in the offer, it covers small corrections or limited adjustments directly related to the delivered scope. It does not include new functionality, new workflows, extra integrations, major logic changes, extra pages, new content, extra revisions or ongoing SEO optimisation.
24. Managed support and maintenance
Managed support or maintenance includes only the services described in the offer. It may include hosting management, monitoring, technical checks, routine maintenance, small bug fixes, limited text updates, dependency/security checks, Search Console checks, booking link monitoring, logs and limited support time. It does not include new functions, new workflows, new integrations, 24/7 availability, unlimited support, ongoing SEO campaigns, content creation, link building, Google Ads or social media management unless expressly agreed. Unused support time does not automatically carry over.
25. Hosting, domains, licences and subscriptions
Unless expressly included, hosting, domains, paid software, third-party subscriptions, licences, API costs, email services, analytics tools, fonts, stock materials, plugins, booking engines and external platform costs are not included. The client remains responsible for timely payment of external services.
26. Hosting, availability and backups
Where Siftly A.I. Services Ltd provides hosting or technical infrastructure, it will use reasonable efforts to keep the solution available and secure. No error-free or uninterrupted availability is guaranteed unless a specific SLA is agreed. Backups are provided only if expressly included and are not an absolute guarantee of complete recovery.
27. Payment and invoicing
Invoices are payable within 21 days of the invoice date, unless a different term is expressly agreed in the applicable offer. All amounts are exclusive of VAT unless stated otherwise.
Any objection to an invoice must be submitted in writing, with reasons, within five days of the invoice date. If no objection is received within that period, the invoice shall be deemed accepted.
If an invoice is not paid in full by the due date, late-payment interest of 8% per year shall be due automatically and without notice of default, together with fixed compensation of 12.5% of the unpaid amount, with a minimum of EUR 20.00.
In case of late payment, Siftly A.I. Services Ltd may suspend work, restrict support and postpone delivery or new work. Payment may not be withheld for minor issues or out-of-scope requests.
28. Payment plans
Siftly A.I. Services Ltd may, on request and after written approval, allow a project amount to be paid through a payment plan. A payment plan is not a standard client right. An administrative and financing surcharge may apply. Monthly support or maintenance remains separately billable unless otherwise agreed. If an instalment is not paid on time, Siftly A.I. Services Ltd may suspend work, delivery, handover, publication, support or access, and may make the remaining balance immediately due where legally permitted.
29. Prices and adjustments
Prices apply only to the described scope. Siftly A.I. Services Ltd may adjust monthly prices, maintenance fees or hourly rates with at least 30 calendar days written notice. Price increases by third-party providers may be passed on where necessary to continue providing the service.
30. Intellectual property
Unless otherwise agreed, Siftly A.I. Services Ltd retains all intellectual property rights in generic code, frameworks, templates, methods, scripts, architecture, reusable components, automation patterns, website components, design systems, SEO structures, prompts, workflows, know-how and concepts. After full payment, the client receives a non-exclusive, non-transferable right to use the specifically delivered solution for its agreed internal or commercial use. Client data, content, brand materials and supplied assets remain the client's property.
31. Source code and technical handover
Siftly A.I. Services Ltd is not required to hand over source code, internal tooling, development environments, technical secrets, API structures, prompts or unpublished scripts unless expressly agreed. If handover of source code, repositories or extensive documentation is requested, this must be separately agreed and may be charged.
32. Confidentiality and security
Both parties must keep confidential information confidential. Confidential information includes technical information, API keys, credentials, business processes, commercial terms, client data, operational data, architecture, non-public documentation, pricing, SEO strategy and automation plans. Credentials and API keys must be handled securely and used only for the project.
33. Data protection and GDPR
Where Siftly A.I. Services Ltd processes personal data on behalf of the client, the client acts as controller and Siftly A.I. Services Ltd as processor unless otherwise agreed. The separate Data Processing Agreement applies where relevant. The client remains responsible for lawful basis, privacy notices, cookies, consent, retention and regulatory decisions.
34. Legal texts, privacy and cookies
Siftly A.I. Services Ltd does not provide legal advice unless expressly agreed. Privacy policies, cookie policies, legal disclaimers, GDPR texts and terms of use are not included unless stated in the offer. Any placeholders or practical text suggestions require review by the client or its legal adviser.
35. Liability
Siftly A.I. Services Ltd is liable only for direct damage caused by a proven contractual fault. It is not liable for indirect damage, consequential loss, loss of profit, lost revenue, loss of customers, reputational damage, data loss unless directly caused by its proven fault, third-party downtime, API changes, ranking loss, lower conversion, missed leads, external booking platform errors, incorrect client settings or force majeure. Liability is limited, to the extent legally permitted, to the amounts paid for the relevant assignment in the 3 months before the damaging event, with a maximum equal to the implementation fee for that assignment. For monthly support or maintenance, liability is limited to the fees paid for the previous 3 months.
36. Indemnity
The client indemnifies Siftly A.I. Services Ltd against third-party claims arising from client-provided data, approved communications, supplied images, logos or content, incorrect instructions, use outside scope, infringement by client materials, client operational decisions, legal non-compliance by the client or privacy/cookie/tracking settings controlled by the client.
37. Force majeure
Siftly A.I. Services Ltd is not liable for delay or non-performance caused by circumstances outside its reasonable control, including internet, hosting, power or third-party outages, cyberattacks, illness, strikes, government measures, war, fire, natural disasters, pandemics, API outages, search engine updates or supplier force majeure. Obligations are suspended while force majeure continues.
38. Termination of projects
A project cannot be cancelled free of charge after approval unless otherwise agreed. If the client cancels or stops a project, Siftly A.I. Services Ltd may invoice completed work, reserved time, incurred costs, non-cancellable costs and agreed project instalments. Siftly A.I. Services Ltd may suspend or terminate a project for non-payment, missing information, material breach, unreasonable cooperation issues or unlawful use.
39. Termination of support or maintenance
Unless otherwise agreed, managed support or maintenance may be terminated by either party with 30 calendar days notice. After termination, Siftly A.I. Services Ltd stops monitoring, maintenance, hosting management, support and proactive follow-up unless otherwise agreed. Handover, export or documentation work may be charged separately.
40. Communication and approvals
Approvals, decisions and changes may be confirmed by email, signed document or another written channel customarily used by the parties. A person communicating on behalf of the client is presumed authorised to make project and operational decisions unless the client notifies otherwise in writing.
41. Language
Unless the offer states otherwise, the official communication language for contractual and project communication is English. Documents may be prepared in another language for practical reasons. If multiple language versions conflict, the English version prevails unless otherwise agreed.
42. Reference use
Unless the client objects in writing, Siftly A.I. Services Ltd may use the client name and a general project description as a commercial reference. No confidential details, internal data, prices or sensitive information will be shared without permission.
43. Severability
If any provision is invalid or unenforceable, the remaining provisions remain in force. The parties will replace the invalid provision with a valid one that comes as close as possible to the original intention.
44. Governing law and courts
These terms and all agreements between Siftly A.I. Services Ltd and the client are governed by the law of Cyprus unless otherwise agreed in writing. The parties will first try to resolve disputes amicably. If no amicable solution is possible, any dispute shall fall under the exclusive jurisdiction of the competent courts of Nicosia, Cyprus, unless mandatory law provides otherwise.
